1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Webmotion HQ ("Company", "we", "our", or "us"), governing your access to and use of the TrackInvoice platform available at invoice.webmotionhq.com, including all related services, messaging bot integrations, and APIs (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.
2. Eligibility
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorised access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Service Description
TrackInvoice provides an invoicing and business management platform that enables users to:
- Create, send, and manage invoices and quotes.
- Manage customers, items, payments, and tax records.
- Create invoices via messaging bots on Telegram, WhatsApp, and Instagram.
- Generate and share PDF invoices and quotes.
- Track payment status and send reminders.
5. Subscription Plans and Billing
5.1 Plans
Access to the Service is governed by subscription plans. Each plan defines the features, limits, and pricing applicable to your use. Free trials may be offered at our discretion.
5.2 Payment
- Subscription fees are billed in advance on a monthly or yearly basis depending on the plan selected.
- All payments are processed through our supported payment gateways (e.g., Paystack).
- Prices are displayed in Nigerian Naira (NGN) unless otherwise indicated.
- You agree to pay all fees associated with your selected plan.
5.3 Refund Policy
Refund requests are handled on a case-by-case basis. You may request a refund within 7 days of your subscription payment if:
- The Service was significantly unavailable or non-functional during the period.
- You were charged in error (e.g., duplicate payment).
Refunds will not be granted for:
- Partial use of a subscription period.
- Failure to cancel before a renewal date.
- Dissatisfaction with features clearly described in the plan details.

5.4 Subscription Expiry
When your subscription expires or is cancelled, access to premium features (including messaging bot integrations) will be restricted. Your data will be retained for as long as your account remains active, but you will not be able to create new invoices beyond any free tier limits.
6. Messaging Bot Services
Our Service includes invoice creation and management through messaging bots on WhatsApp, Instagram, and Telegram. By using these bot integrations:
- You consent to receiving messages from our bot in response to your commands.
- You acknowledge that messages are transmitted through third-party platforms (Meta, Telegram) and are subject to their respective terms of service.
- You agree not to use the bots for any unlawful, fraudulent, or abusive purpose.
- Bot availability is subject to third-party platform uptime and API availability.
- You can disconnect your bot at any time from your account settings.
7. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or harmful activities.
- Create invoices for fictitious transactions or for the purpose of fraud.
- Attempt to gain unauthorised access to other users' accounts or data.
- Interfere with or disrupt the Service, servers, or networks.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use automated tools (other than our provided bots) to access the Service without permission.
- Send spam, bulk messages, or unsolicited communications through our messaging integrations.
8. Intellectual Property
The Service, including its design, code, logos, and content, is the property of Webmotion HQ and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works based on the Service without our written consent.
9. Data Ownership
You retain ownership of all data you input into the Service, including invoices, customer information, and business records. We do not claim ownership of your data. You grant us a limited licence to use, store, and process your data solely for the purpose of providing the Service.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Warranties that the Service will be uninterrupted, error-free, or secure.
- Warranties regarding the accuracy or reliability of any information obtained through the Service.
TrackInvoice is a tool for invoice management and does not constitute financial, legal, or tax advice. You are solely responsible for the accuracy of your invoices and compliance with applicable laws and regulations.
11. Limitation of Liability
To the maximum extent permitted by law, Webmotion HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in subscription fees during the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Webmotion HQ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
- You may terminate your account at any time by contacting us at support@webmotionhq.com.
- We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to the Service or other users.
- Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.
14. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. Material changes will be communicated via email or a notice on the platform. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved amicably within 30 days, it shall be submitted to the jurisdiction of the courts of the Federal Republic of Nigeria.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Webmotion HQ regarding the use of the Service and supersede all prior agreements and understandings.
